Team overview:

Our employee benefits and incentives team advises across a broad range of sectors including financial services, insurance, healthcare, manufacturing, natural resources and real estate. The team is fully integrated with our employment and pensions practice and has daily interaction with the rest of the firm's departments such as corporate, tax and financial regulation.

An opportunity exists for a suitable candidate to join our employee benefits and incentives team on 9 month contract.

Job overview:

We would like to engage senior-level qualified lawyer who has had experience working in the area of employee benefits and incentives. The candidate should be confident in providing advice directly to clients, both listed and unlisted. He or she will be expected to undertake both advisory work, such as drafting share plan documentation and advising on corporate governance and regulatory issues, as well as working on the incentives aspects of corporate transactions.

Essential skills and experience:

Qualified lawyer with post-qualification experience at a major law firm
Experience of employee benefits and incentives law
Experience of large scale transactions
Experience of drafting and reviewing legal incentives- related documents
Employment law experience would be a bonus
An adaptable person who is a fast learner
A team-player who can work effectively with colleagues at all levels
Client facing experience and the ability to understand and respond effectively to client needs
A commercial approach

Recent Work:

Aveva plc advising in relation to the incentives issues arising on its GBP3.5 billion combination with Schneider plc;
Cape PLC advising on the incentives aspects of its recommended takeover by Altrad Investment Authority;
Renewi plc advising on the share plan issues arising from its merger with van Gansewinkel Groep;
advising a listed power solutions company on the implementation of their all-employee and discretionary share plans and preparing for their AGM; and
advising a listed natural resources company on all matters related to its long-term incentive scheme, share plans and remuneration arrangements.
RPC Group PLC : advising on the implementation and operation of its global employee share plans including feasibility studies in numerous jurisdictions worldwide and regulatory filings in China.
Domino Printing Sciences PLC: detailed advice in relation to the company's seven share plans, operated in conjunction with two employee benefit trusts, in the context of a recommended offer for the company.
Xchanging PLC: advice in relation to competing takeover offers and the implications for participants in the company's range of employee share plans.
Johnston Press PLC: advice in relation to the operation of the company's share plans with particular reference to the implications of transactions, such as the acquisition of "i" newspaper.
Shanks Group PLC: advising on the implementation of a new savings-related share option plan.
