Our client is an international non-governmental organisation (NGO) that uses sustainable technology to challenge poverty in developing countries and improve the lives of people worldwide. Through technology they enable poor communities to build on their skills and knowledge to produce sustainable and practical solutions- transforming their lives forever and protecting the world around them.

They now have an exciting opportunity for an Assistant Company Secretary to join them, to support the Director of Finance and Services to ensure that governance for the group is effective in design and implementation. The role will directly support an organisation wide governance review in the coming year and the implementation of resulting changes thereafter.

In the role you will develop, maintain and implement effective group delegations of authority and support and facilitate governance matters for subsidiary and branch entities. Supporting the Group Governance Review and maintaining Companies House and Charity Commission records for all active and dormant group entities, you must maintain brand and trademark registrations and licenses for its use and advise on major or complex procurement and other legal contracts; with particular reference to performance clauses, liability and indemnity and data protection.

With proven knowledge – through experience or qualification – of Company Secretary duties for both charities and companies, you will have good communication skills and strong attention to detail.  Able to work in a high pressure professional environment, keep organised and manage multiple demands on time, you will be proactive and resilient with the ability to engage others in offices around the world and independently overcome obstacles. The successful candidate will have some knowledge of overseas governance, particularly in Asia and Africa, and prior knowledge of the INGO sector desirable.
