Corporate Associate Level of role - 4+ PQE Department - Corporate Outline of the Role The Corporate team provides a full-service offering and includes transactional experience across M&A, Corporate Finance and Private Equity. The team advises on the full range of merger and acquisition transactions, public takeovers, tender offers, IPOs, secondary issues (both equity and debt), share buy-backs and corporate reorganisations and demergers, and works with a wide range of clients on multi-jurisdictional share and asset sales and purchases. Our Private Equity expertise extends to all areas of the sector, with our team comprising not only corporate lawyers but also specialists in banking, fund formation, tax and employment. Our Corporate Division is made up of the following business units: - Corporate Finance - Tax - Financial Regulation - Corporate Services - Share Schemes - Professional Practice The Corporate Division is supported by our transaction services team which provides assistance with the high-volume aspects of transaction management. Duties We are now looking to appoint two Associates / Managing Associates in the Leeds office. You will assist Partners on a wide range of corporate transactions for a variety of clients. These will include (depending on client demand from time to time): M&A - share and asset disposals and acquisitions, for private and listed companies; - private equity transactions; joint ventures; IPOs and secondary issues; and reorganisations. You will also be expected to play a part in business and practice development as a committed member of the team. You may need to supervise junior members of the team on tasks undertaken within transactions. Knowledge, skills and experience required. We expect candidates to have a strong grounding in company law and corporate transactional work derived from relevant post qualification periods. A specific experience focus on Corporate M&A would be preferred and some financial services sector experience would be advantageous. You should have gained at least four years' experience in a corporate transactional role in order to have gained the range of skills and expertise required for the position. This experience should ideally have been gained in a major national, international, City or equivalent firm but applicants from other background sill be considered if they can demonstrate the required level of corporate transactional experience.
