About the team

We are looking for a lawyer with a broad range of intellectual property (IP), information technology (IT) and general commercial contract experience to join our Midlands Legal team as part of the expansion of our UK legal due diligence (LDD) team. You will be called upon to play a key role in delivering quality legal due diligence projects on a wide variety of Mergers and Acquisitions. A transactions (both buy-side and Vendor Due Diligence) and corporate reorganisation projects (including carve-outs and integrations).

Our team is like no other. We are unique in the legal market as our LDD offering forms a key part of an integrated financial, legal, tax and commercial due diligence service. Our LDD team supports both corporate and private equity clients based in the UK and overseas. You will frequently work as part of a multi-disciplinary advisory team and also as part of a global legal team delivering complex projects across the globe.

Our legal practice is a member of the PricewaterhouseCoopers (PwC) international network of firms. The Legal network in the UK consists of 42 Partners and Directors and a 350 strong team. As well as project-based, specialist legal advice, we offer our clients full-service legal advice including ongoing general counsel support. We are part of the largest global network of lawyers and have access to legal expertise in over 86 countries.

About the role

We expect you to enjoy an interesting and challenging workload. We work on a wide range of projects covering all legal specialisms and across the full range of industry sectors. Our projects require a comprehensive understanding of relevant technical areas of law and a forensic mind-set to the information/document review but also the ability to deliver commercial and practical solutions that solve key deal/value issues while also taking account of the findings of the broader PwC due diligence work.

We frequently work alongside non-lawyers in PwC, including due diligence, structuring, tax and regulatory specialists. We also frequently carry out due diligence as a stand-alone service, supporting client's Mergers and Acquisitions. A legal advisors.

Not only does this give us access to clients and projects that many other law firms don't see, but it means our lawyers develop a deeper understanding of business issues and the commercial context for our legal advice than is possible at other law firms. As an IP, IT and general commercial lawyer within the team, you will have experience at a well regarded law firm of advising corporate and private equity clients in the deals environment. We are looking for someone with a broad range of IP, IT and general commercial experience. Having some experience of providing advice in relation to cyber security and data protection issues would be an advantage, although not essential.

You will form part of a team that has a due diligence-focused skill set and be supported by dedicated contract review and project management paralegals. You will also have the support of senior specialist lawyers and access to PwC's broader business issue specialists (including cyber security risk management and forensic experts as well as technical IT specialists) on more technical and challenging issues.

You will be expected to work proactively under your own initiative and to liaise effectively with other advisers and members of the team to deliver our projects. Organisational skills, the ability to work under time pressure within a deals environment and the ability to work as part of large teams with broad skill-sets are key attributes we are looking for.

The role offers high levels of responsibility, the satisfaction of working on interesting and challenging assignments and participation in a successful team. The successful candidate will be enthusiastic and keen to embrace the challenge.

Essential skills and experience

  • Qualified solicitor in England & Wales (although we will consider candidates qualified in an equivalent common law jurisdiction).
  • Proven experience of working on LDD projects, whether in a lead role or as part of a Corporate-support team.
  • A broad IP, IT and general commercial law background at a well-regarded firm.
  • A good understanding of cyber security and data protection legal issues would be an advantage, although not essential.
  • Strong organisation and client service skills.
  • Ability to work under time pressure in the deals environment.
  • Primarily a team player but also able to work under own initiative.
  • Clear, articulate and confident in written and verbal communication skills.
  • Excellent academic background.
