Senior Legal Counsel c $150,000 to $200,000 plus benefits KUWAIT

Our client a well respected Kuwaiti Investment house is seeking an outstanding Senior Legal Counsel.

The Principal Investments group has a substantial portfolio of investments (about $2.5 billion at book value) in a wide range of companies, principally in the GCC. This portfolio undergoes additions and sell downs, but on the whole is increasing in terms of size. In many investee companies, my client has substantial stakes in terms of percentage ownership (over 20%,) active participation (board memberships) and/or size (tens-hundreds of millions of Dollars per investment.)

My client acquires stakes in companies at various stages in their development, but also develops new projects and is therefore, involved in negotiating EPC, O&M, financing and other agreements.

-Legal work for this portfolio covers a wide range of activities, including:

-Acquisitions and disposals (due diligence, sale and purchase agreements???);

-Company formation and ongoing work (shareholders' agreements, Articles of Inc???)

-The full suite of documentation required for large, limited recourse financing; and

-Other issues requiring legal advice, e.g. confidentiality agreements, mandate letters, information memoranda...

Objectives and scope of work:

-Identify issues and discuss implications with PI executives;

-Assist in negotiations with third parties and their legal advisers;

-Conduct due diligence;

-Interface with outside legal counsel;

-Speed up internal reviews;

-Draft certain agreements; and

-Generally, advise and assist on all legal matters relating to PI.

Profile: This is a senior position with major responsibility. The candidate must therefore, have considerable experience gained with a top tier reputable international law firm. This experience must cover the full spectrum of the work described above and the candidate must have commercial awareness of market practices. The candidate must be able to handle a number of projects at the same time and competing demands from various PI teams. They must also be able to cope with the tight timetable dictated by certain transactions. The candidate will be required to submit a detailed deal sheet.
