JOB RESPONSIBILITIES
The duties of the Lead Equity Analyst/VIP Deputy Compliance Administrator will focus primarily on the following:
- Work alongside Partner Services Investment Operations Director to organize and direct the operations activities of the financial investing arm of the Partner Services Group (the VIP)
- Ensure compliance of the BCG VIP with the applicable statutory regulatory framework, including establishing processes and procedures around annual compliance requirements
- Responsible for ensuring that the loan program under the BCG VIP is administered in compliance with approved norms
- Prepare reports required to satisfy BCG VIP's obligations under the SEC's Employees Securities Company exemption
- Ownership and control over legal document templates required for all equity transactions
- Managing document template update process on timely basis, ensuring changes meet requirements of Legal and Tax prior to any upcoming transactions
- Setting up and managing a regular document review process that highlights to Tax and Legal any needed re-drafts or reviews of templates
- Serve as a key resource to equity program directors in the field with regard to navigating and interpreting the terms of the legal agreements
- Further developing and maintaining the electronic filing systems for legal documents ensuring the records are accurate and up-to-date
- Involvement in the planning and design of operation activities for significant equity transaction cycles
- Administering the equity entry and exit communication process, adjustments, and considerations that result from various purchase and sale transactions.
- Preparation of legal documents related to sale and purchase of equity interests by Partners
- Managing additional resources to assist with preparation of legal documents, during peak volume periods, while still maintaining overall responsibility for their quality and delivery
- Managing the execution of legal documents, ensuring Partners return executed documents in a timely manner and that any issues are escalated
- Preparing wire instructions for Treasury related to equity purchases and sales
- Reconciliation of legal share register to be included in the financial statements and administration of share approval transactions with the governing committee
- Maintaining control lists of Partners within each BCG Partnership and reconciling changes such as new admissions, departures and transfers with Legal
- Collaborating with Legal Team and other functions for various projects as necessary
JOB REQUIREMENTS
The successful candidate will be a motivated individual with the following:
- Bachelor's Degree
- Certificate in Paralegal Studies (or functional equivalent)
- Significant and proven corporate law experience, specializing in corporate governance, with law firm or relevant experience as a paralegal in in-house environment
- Knowledge of US corporate/regulatory law in general and a specific understanding of Massachusetts corporate law requirements
- Detailed knowledge of equity programs
- Significant experience working with voluntary investment programs, especially those focused on the private equity asset class and subject to SEC regulations
- Experience with share ledger reconciliation
- Experience with share issuance approvals in a complex legal entity ownership structure
- Proficient in MS office applications – Outlook, Word, Excel, PowerPoint, Access
- Outstanding interpersonal, verbal and written communication skills
- Flexible and adaptable to rapidly changing priorities and ability to stay focused
- Excellent organizational skills
- Detail-oriented
- High level of confidentiality and discretion in handling of legal/regulatory matters
- Self-starter
- Ability to work independently on multiple, simultaneous assignments with minimal supervision
DESIRABLE JOB REQUIREMENTS
The Lead Equity Analyst/VIP Deputy Compliance Administrator is also preferred to possess the following:
