Head of Fund Governance
An opportunity has come up at a leading wealth management group to lead their Fund Governance team, the role leads a small team in working with the business to ensure the business's regulatory and governance structure continues and helping them to develop new products to take to market to ensure the continue as a market leader. The Head of Fund Governance manages a small team and is responsible for identifying, managing and implementing legal, regulatory and tax changes impacting the funds and their management companies in Ireland, Jersey, Luxembourg and the UK and banking group in its role of manufacturer, investment manager and distributor. The Fund Governance team will propose solutions and drive forward change. The Fund Governance team ensures groups and the fund entities meet their legal and regulatory duties, applying the highest standards of corporate governance and control. Responsibilities and experience Subject Matter Expertise in Funds Deep subject matter expertise of fund structures and roles and responsibilities of service providers Expertise in applying financial regulations including, but not limited to: Financial Conduct Authority (FCA) handbook (conduct of business (COBS), collective investment scheme (COLL), investment funds (FUND), senior management systems and controls (SYSC), client assets (CASS)), markets in financial instruments directive (MiFID II), UCITS, alternative investment fund managers directive (AIFMD), European market infrastructure regulation (EMIR), market abuse regulation (MAR), prevention of financial crime (anti-money laundering (AML) and know your customer (KYC)) Represent the business as the subject matter expert on funds at executive and steering committees Represent funds at select industry fora and client advisory groups on legal and regulatory change Influence senior stakeholders and drive forward legal and regulatory change Present at board meetings, advise the directors and respond to challenge Line management responsibilities for a team of two fund governance colleagues Drive and define the governance framework for Barclays Asset Management Limited (including infrastructure areas) and hold delegates to account Co-ordinate and manage the fund governance team resource (working on certain tasks) to meet changing demands and deadlines in the following areas: Identify, interpret, apply and propose pragmatic solutions to implement strategic legal, regulatory and tax changes within the funds' business, engaging stakeholders as appropriate Participate in fund product development (set up, launch, mergers, transfers and liquidation of undertakings for collective investment) and distribution of funds from a governance perspective Review the full range of fund documentation including; trust deeds, instruments of incorporation, memorandum, articles of association, prospectuses, key investor information documents (KIIDs), investor communications and marketing documents, distribution, management company, investment management agreements and service provider agreements from a governance perspective Provide pragmatic challenge and guidance to the depositary, transfer agent and fund accountant Advise on risk assessments and audits, compliance reviews, compliance policies and procedures, define and implement aspects of the control environment Apply the highest standards of corporate governance to the fund legal entities and manage conduct and information risk Draft board reports and reports for Barclays executive committees Required experience Fund experience in a legal, compliance, governance or product role is mandatory. Line management experience Funds experience mandatory, preferably UCITS Lawyer (Governance/ Corporate / Asset Management Financial Services/ Funds), or compliance/regulatory/fund product development background mandatory
