Corporate Solicitor 2+PQE
We are recruiting for a Corporate Solicitor 2+PQE in Bristol. This role will be assisting predominantly one partner and a senior associate in a wide variety of matters, including acting for vendors and purchasers on M&A deals, both shares and assets, new equity investments, debt for equity swaps and group reorganisations and demergers, including inter-company debt restructuring. Common themes are directors' duties in impending insolvency, management incentive for retention through the turnaround phase, deal execution being complicated by pension and IP rights issues and reconstruction solutions being driven by tax factors.
Assignments tend to be intense in their first phase, becoming more similar to normal corporate transactions in the subsequent phases that typically follow a successful turnaround. Current workload includes 2 'good book' exits to US purchasers of previous turnarounds, a distressed purchase, 2 group reorganisations, a demerger and a number of shareholder and incentive matters. Recent clients have varied from a ??100m+ multiple retailer to a ??3m technology solution provider, from a ??20m engineering service provider, to a ??40m IT manufacturer.
The team is supported by legal assistants and trainees in the initial preparation of ancillary documentation, managing due diligence and disclosure and, depending on experience, the successful candidate will find themselves with a varied work load supervising those processes and drafting and negotiating the principal documentation.

The successful candidate will have a strong academic background and will be working at a highly regarded Regional practice, or a City firm, with a solid grounding in Corporate (or possibly Insolvency) transactional work.
Have experience since qualifying in Corporate M&A.
Have some knowledge of or experience in training of Insolvency or distressed transactions.
Have an understanding of Corporate taxation and accounting reserves.
Demonstrate excellent organisational skills, accuracy and attention to detail.
Have high level analytical and logic skills to ensure the logical arrangement of materials and the optimum order of events in a complex process.
Have good communication skills (both oral and written) and be a good teamwork communicator.
Have a fundamental belief that excellent service is the goal in all tasks, internal and external.
Have a desire to learn and develop new legal skills in the area of Corporate law.
Have good knowledge of Word and Outlook and some experience of using Excel.
