Reporting to the Chairman and Board of Directors of this private, unlisted company, the Legal Counsel / Company Secretary will manage and advise:
- on risk and contractual issues of the Group
- on regulatory compliance and corporate governance
- on company secretarial duties
and will provide general legal advice to the Board, senior management and operational management teams. Key responsibilities include:
Commercial - responsible for advising on drafting, and drafting amendments to:
- sub-contract and supplier terms and conditions, contracts, and customer contracts
- non disclosure agreements, joint venture agreements, co-operation agreements, Powers of Attorney and general commercial agreements
- corporate acquisition & disposal agreements but such work to be normally undertaken in conjunction with the Solicitors that act for the Group
Corporate Governance - refine the existing policies and procedures manual, and develop new policies to ensure full compliance with company, legal and regulatory obligations in the UK and overseas.
Compliance - implement best practice to ensure the Group and its operating companies comply with company law at all times, and to establish with the Board arrangements for the execution of all legal documents.
The Legal Counsel / Company Secretary will work with the Group Compliance Manager to minimise risk across the Group and improve operations by ensuring that a systematic and disciplined system of risk management, control and governance is maintained continuously and effectively across the Group.
Insurance - identify all areas of risk to ensure that the Group has adequate and effective insurance cover. Co-operate with the Group's insurance brokers, and specialist lawyers if necessary, to manage all aspects of the Group's insurance policies and cover.
Company Secretarial - arrange in co-operation with the Chairman, the Board meetings and all other meetings of the Main Board and any Committee meetings of the Board including timely circulation of reports, minutes and other Board papers. Maintain statutory books and be responsible for the filing all relevant documents at Companies House.
Our client is an international specialist chemical and engineering Group with companies across the globe. The Group's head office is in the West Midlands UK, with key locations in the UK, Europe, Asia, Australia and the USA.
As legal head of the Group the Legal Counsel / Company Secretary must be able to operate credibly at company management and senior stakeholder level. The applicant should be a Solicitor or a Barrister, who is able to demonstrate a previous track record in the areas of experience required by the Group.
